These Terms and Conditions (“Terms”) govern your access to and use of inFocussed.com and the services provided by inFocussed (“inFocussed,” “we,” “us,” or “our”).

By accessing our website, contacting us, requesting a proposal, approving a project, purchasing a service, making a payment, or otherwise engaging our services, you agree to these Terms.

If you do not agree with these Terms, please do not use our website or services.

1. Our Services

inFocussed provides digital, creative, marketing, technical, and business-growth services.

Our services may include, but are not limited to:

  • Logo and graphic design

  • WordPress development

  • Website maintenance and support

  • Local SEO

  • Digital marketing

  • Social media management

  • Content and marketing services

  • Search and advertising campaign management

  • Digital strategy

  • Consulting

  • Other digital services introduced by inFocussed from time to time

The exact services provided to a client will be determined by the applicable proposal, quotation, statement of work, invoice, service agreement, or other written agreement.

2. Project and Service Agreements

Individual services or projects may be governed by a proposal, quotation, statement of work, invoice, service agreement, email confirmation, or other written agreement.

The applicable agreement may specify:

  • Services

  • Scope of work

  • Deliverables

  • Milestones

  • Fees

  • Payment schedule

  • Timelines

  • Revisions

  • Client responsibilities

  • Third-party services

  • Maintenance arrangements

  • Other project-specific terms

Where project-specific terms conflict with these general Terms, the project-specific written agreement will generally control for that particular service or project.

3. Scope of Work

inFocussed will provide the services and deliverables described in the agreed scope.

Requests outside the agreed scope may include:

  • Additional pages or materials

  • Additional design concepts

  • Major redesigns

  • New features

  • Custom development

  • Additional integrations

  • Additional revisions

  • Additional research

  • Additional content

  • Additional marketing activities

  • New strategies or campaigns

  • Work resulting from changes in requirements

Out-of-scope work may require additional fees and may affect delivery timelines.

4. Client Responsibilities

Clients are responsible for providing information, materials, approvals, access, and cooperation reasonably required to perform the services.

This may include:

  • Business information

  • Brand assets

  • Logos

  • Images

  • Written content

  • Product or service information

  • Website access

  • Hosting access

  • Domain access

  • Social media access

  • Advertising account access

  • Analytics access

  • Third-party platform access

  • Feedback and approvals

Clients are responsible for ensuring that they have the legal right to provide materials, information, and access to inFocussed.

5. Accuracy of Client Information

Clients are responsible for the accuracy, legality, and completeness of information they provide.

inFocussed may rely on information supplied by the client when performing services.

We are not responsible for losses resulting from inaccurate, incomplete, outdated, misleading, or unauthorized information supplied by the client.

6. Payments

Fees and payment schedules will be specified in the applicable proposal, quotation, invoice, or service agreement.

Projects may use milestone-based payments.

Recurring services may use monthly, quarterly, annual, or other agreed billing arrangements.

inFocussed may pause services or project work if required payments are overdue.

7. Late Payments

If a payment becomes overdue, inFocussed may suspend work or services until the outstanding amount is paid.

Delays resulting from late payment may affect project timelines and availability.

Additional costs caused by substantial delays, restarting work, or changes during a delayed project may apply where appropriate.

8. Milestone Approval

A milestone, design, deliverable, page, campaign, or other work product may be considered approved when the client:

  • Provides written approval;

  • Requests that inFocussed proceed based on it;

  • Uses or publishes the deliverable;

  • Makes payment for the corresponding completed milestone; or

  • Fails to provide requested feedback within a reasonable period after delivery.

Once work has been approved, substantial changes may be treated as additional work.

9. Revisions

Revision limits, where applicable, will be specified in the relevant project agreement.

Revisions are intended to refine agreed work and are not intended to cover a complete change in direction.

Major changes after approval may require additional fees.

10. Project Timelines

Any timeline provided by inFocussed is an estimate unless a specific deadline is expressly guaranteed in writing.

Timelines may be affected by:

  • Client delays

  • Missing information

  • Delayed approvals

  • Late payments

  • Scope changes

  • Third-party services

  • Hosting issues

  • Technical problems

  • Platform changes

  • Unforeseen requirements

  • Events beyond our reasonable control

We will make reasonable efforts to meet agreed timelines.

11. Third-Party Services

Our services may rely on third-party platforms, software, hosting providers, plugins, themes, APIs, advertising platforms, social media platforms, AI tools, payment providers, or other external services.

inFocussed does not control third-party services and cannot guarantee their:

  • Availability

  • Pricing

  • Security

  • Compatibility

  • Performance

  • Features

  • Policies

  • Continued operation

Changes or failures involving third-party services may require additional work or changes to the agreed service.

12. Domains, Hosting, Software, and Subscriptions

Unless specifically included in a service agreement, third-party costs such as domains, hosting, software licenses, plugins, themes, subscriptions, advertising budgets, stock assets, and similar services are separate from inFocussed service fees.

Where inFocussed purchases or manages third-party services on behalf of a client, the client remains responsible for applicable costs unless otherwise agreed.

13. Software and Platform Updates

Digital services may depend on platforms and software that are regularly updated.

Changes to WordPress, plugins, themes, hosting environments, browsers, APIs, social platforms, search engines, advertising systems, AI platforms, or other technologies may affect existing work.

Unless ongoing maintenance or management is included in a separate agreement, inFocussed is not responsible for future changes caused by third-party updates.

14. SEO and Marketing Results

Where SEO, marketing, advertising, social media, or related services are provided, inFocussed will use reasonable professional efforts to perform the agreed services.

However, we do not guarantee specific:

  • Search engine rankings

  • Website traffic

  • Leads

  • Sales

  • Revenue

  • Followers

  • Engagement

  • Advertising performance

  • Conversion rates

  • Return on investment

  • Business growth

Results can be affected by competition, market conditions, algorithms, budgets, content, pricing, customer behavior, business operations, and numerous other factors outside our control.

15. Advertising Budgets

Where advertising management is provided, inFocussed service fees and advertising platform budgets are separate unless expressly stated otherwise.

Advertising budgets may be paid directly to the applicable platform or processed through an agreed payment arrangement.

Advertising platforms may change costs, targeting, availability, policies, approval requirements, or performance without notice.

16. Intellectual Property

Unless otherwise agreed in writing, upon full payment for the applicable work, the client receives the rights to use final deliverables created specifically for the client as part of the completed project.

Third-party materials remain subject to their respective licenses.

These may include:

  • Fonts

  • Stock images

  • Plugins

  • Themes

  • Software

  • APIs

  • Templates

  • Third-party code

  • AI-generated or AI-assisted assets where third-party terms apply

inFocussed retains ownership of its pre-existing materials, tools, processes, methods, frameworks, reusable code, templates, know-how, and general expertise.

17. Client-Owned Materials

The client retains ownership of materials supplied to inFocussed, subject to any third-party rights.

The client represents that they have the necessary rights and permissions to use those materials.

The client is responsible for claims arising from materials they provide where those claims result from infringement, unauthorized use, or unlawful content.

18. Portfolio and Marketing Rights

Unless otherwise agreed in writing, inFocussed may display completed work, screenshots, project descriptions, business names, logos, or publicly available information relating to completed projects in our portfolio, website, case studies, proposals, social media, and marketing materials.

If a client requires a project to remain confidential or does not want the work publicly displayed, the client should notify us in writing before or during the project.

We will respect reasonable confidentiality requests.

19. Confidentiality

Each party agrees to use reasonable care when handling confidential information received from the other party.

Confidential information does not include information that:

  • Is publicly available;

  • Was already lawfully known;

  • Is independently developed;

  • Is lawfully received from another source; or

  • Must be disclosed by law or legal process.

20. Legal and Regulatory Compliance

Clients are responsible for ensuring that their websites, marketing campaigns, content, advertising, products, services, and business practices comply with applicable laws and regulations.

inFocussed does not provide legal, tax, accounting, financial, medical, or regulatory advice unless expressly agreed as a separate professional service.

This includes responsibility for determining whether a client requires specific:

  • Privacy policies

  • Terms of service

  • Cookie notices

  • Disclaimers

  • Accessibility measures

  • Industry disclosures

  • Advertising disclosures

  • Consent mechanisms

  • Regulatory notices

Clients should obtain appropriate professional advice where required.

21. Website Security

We use reasonable practices appropriate to the services we provide.

However, no website, software, account, server, or digital system can be guaranteed to be completely secure.

Security can be affected by passwords, hosting environments, third-party software, outdated software, compromised accounts, client modifications, malware, server configuration, and other factors.

Clients are responsible for maintaining secure access credentials.

22. Website and Service Availability

We do not guarantee uninterrupted availability of websites, systems, platforms, hosting services, marketing platforms, social media platforms, or third-party services.

Temporary interruptions may occur because of maintenance, updates, outages, security incidents, third-party failures, or circumstances beyond our reasonable control.

23. AI and Automated Tools

inFocussed may use artificial intelligence, automation, machine-learning tools, or third-party AI services in certain services where appropriate.

AI-assisted work may be subject to limitations relating to accuracy, originality, availability, licensing, privacy, or third-party terms.

Where appropriate, we may review and modify AI-generated or AI-assisted outputs before delivery.

Clients remain responsible for reviewing final business, legal, factual, or regulatory content before publication or use.

24. Accessibility

Where accessibility work is included in a project, inFocussed may implement reasonable accessibility practices within the agreed scope.

Accessibility requirements vary by jurisdiction, industry, website content, technology, and business circumstances.

Unless expressly agreed in writing, we do not guarantee that a website or digital asset will satisfy every accessibility law, standard, guideline, or requirement applicable to the client’s business.

25. Client Changes After Delivery

After a project or service has been completed, changes made by the client or another third party may affect functionality, design, security, performance, or compatibility.

inFocussed is not responsible for problems caused by unauthorized or third-party modifications.

Additional work required to repair or restore affected systems may be billed separately.

26. Termination

Either party may terminate a project or service subject to the applicable agreement.

If a client terminates after work has begun, the client remains responsible for completed work, approved milestones, services already provided, and committed or non-refundable third-party expenses.

inFocussed may terminate or suspend services where reasonably necessary due to:

  • Non-payment

  • Material breach

  • Abuse or harassment

  • Illegal activity

  • Unauthorized access

  • Repeated failure to provide required information

  • Security concerns

  • Other serious circumstances affecting our ability to provide services

27. Disclaimer of Warranties

To the maximum extent permitted by applicable law, our website and services are provided on an “as available” and “as reasonably provided” basis.

We do not guarantee that:

  • Our website will always be available;

  • Services will always be uninterrupted;

  • Websites or deliverables will always be error-free;

  • Third-party services will remain available;

  • Future software updates will not affect functionality;

  • Marketing campaigns will achieve a particular result;

  • Search engines will rank a website in a particular position; or

  • Services will produce a particular level of revenue, traffic, leads, or growth.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

28. Limitation of Liability

To the maximum extent permitted by applicable law, inFocussed will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings arising from or relating to our website or services.

To the maximum extent permitted by applicable law, inFocussed’s total liability arising from a particular service or project will not exceed the amount actually paid to inFocussed for that particular service or project during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

29. Indemnification

To the extent permitted by applicable law, the client agrees to defend, indemnify, and hold harmless inFocussed, its contractors, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from:

  • Client-provided content

  • Client’s unlawful use of our services

  • Client’s violation of third-party rights

  • Client’s violation of applicable law

  • Client’s misuse of digital accounts or systems

  • Client’s material breach of these Terms

30. Force Majeure

inFocussed will not be responsible for delays or inability to perform caused by circumstances beyond our reasonable control.

These may include:

  • Natural disasters

  • War

  • Terrorism

  • Government actions

  • Internet or infrastructure failures

  • Major hosting outages

  • Cyberattacks

  • Power failures

  • Widespread software failures

  • Public emergencies

  • Pandemics

  • Labor disruptions

  • Other events beyond reasonable control

Affected deadlines may be reasonably extended.

31. Dispute Resolution

If a dispute arises, the parties agree to make reasonable efforts to resolve it through good-faith communication before commencing formal proceedings, unless urgent legal relief is required.

The party raising the dispute should provide reasonable written details of the issue and the requested resolution.

Nothing in this section prevents either party from exercising rights or seeking remedies that cannot legally be delayed or waived.

32. Governing Law and Jurisdiction

inFocussed may provide services from Pakistan to clients located in the United States and other jurisdictions.

The parties acknowledge that different laws may apply depending on the location of the parties, nature of the service, transaction, and applicable mandatory laws.

Where permitted by law, the parties may agree in a project-specific written agreement to the governing law and jurisdiction applicable to that project.

If no specific governing-law provision applies, disputes will be addressed under the applicable laws and jurisdiction determined by the circumstances of the transaction and mandatory applicable law.

Nothing in these Terms is intended to deprive a consumer of rights that cannot legally be waived.

33. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the maximum extent permitted by law.

34. No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.

35. Entire Agreement

These Terms, together with the applicable proposal, quotation, invoice, statement of work, service agreement, and other written project terms, constitute the agreement governing the relevant services.

Where a specific written agreement conflicts with these general Terms, the specific agreement will control for that particular service or project.

36. Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, business practices, technology, or applicable requirements.

The updated version will be published on our website with a revised “Last Updated” date.
